Terms of Service

Welcome to the DLAR System, a business management and compliance platform developed by DLAR Consultation and Document Processing.

The DLAR System is designed to help businesses organize their accounting records, business documents, tax compliance, payroll information, inventory records, and other administrative operations.

By creating an account, logging in, or using the DLAR System, you acknowledge that you have read, understood, and agreed to these Terms of Service and our Privacy Policy.

If you do not agree with these Terms, please discontinue using the System.

1. Purpose of the System

The DLAR System is intended to assist business owners in managing their business records and compliance requirements.

The System may include, but is not limited to:

  • Sales Recording
  • Expense Recording
  • Payroll Monitoring
  • Inventory Management
  • Business Document Storage
  • Tax Compliance Monitoring
  • Financial Reports
  • Internal Business Records

The System is a business management tool and does not replace professional accounting, legal, tax, or auditing advice.

2. User Account

Each user is responsible for maintaining the confidentiality of their login credentials.

You agree to:

  • Keep your username and password confidential.
  • Notify DLAR immediately of any unauthorized access.
  • Accept responsibility for all activities performed under your account.

DLAR shall not be responsible for losses resulting from unauthorized use caused by your failure to protect your account credentials.

3. Client Responsibility

The accuracy of reports generated by the DLAR System depends entirely on the accuracy and completeness of information entered by the Client.

The Client is solely responsible for ensuring that all recorded sales, expenses, payroll, inventory, tax information, and uploaded documents are complete, accurate, and updated.

DLAR shall not be liable for penalties, filing errors, tax assessments, or business losses resulting from inaccurate, incomplete, or outdated information provided by the Client.

4. Government Compliance

The DLAR System is designed to assist businesses in organizing compliance requirements.

However, the System does not guarantee:

  • Approval of BIR applications;
  • Issuance of permits or licenses;
  • Approval of registrations;
  • Acceptance of tax returns;
  • Processing timelines; or
  • Decisions made by government agencies.

All government transactions remain subject to applicable laws, documentary requirements, and evaluation procedures of concerned government agencies.

5. Filing Deadlines

The Client remains solely responsible for complying with filing deadlines imposed by government agencies including BIR, LGUs, SEC, SSS, PhilHealth, Pag-IBIG Fund, and other authorities.

6. Business Documents

Clients may upload permits, licenses, tax returns, payroll files, contracts, and other business documents. Clients warrant that uploaded documents are genuine, accurate, and lawfully obtained.

7. Data Privacy

DLAR respects user privacy and processes personal information in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173).

8. Ownership of Data

All accounting records, uploaded documents, payroll information, inventory records, customer information, financial reports, and business data remain the exclusive property of the Client.

9. Intellectual Property

The DLAR System, including software, source code, workflow, database structure, interface, graphics, documentation, trademarks, and logo are the exclusive property of DLAR Consultation and Document Processing.

10. Acceptable Use

Users must not access other accounts, bypass security, upload malicious software, use the System unlawfully, interfere with operations, or misuse system features.

11. Third-Party Services

The DLAR System may rely on third-party services such as cloud storage, payment providers, government portals, banks, internet providers, and email services.

12. System Availability

DLAR strives to maintain reliable service; however, uninterrupted availability cannot be guaranteed.

13. Audit Logs

The DLAR System may record login history, IP addresses, system activities, uploaded documents, and transaction logs for security and compliance purposes.

14. Limitation of Liability

The DLAR System is provided on an AS IS and AS AVAILABLE basis. DLAR shall not be liable for losses caused by user errors, inaccurate records, government actions, third-party failures, or events beyond reasonable control.

15. Suspension or Termination

DLAR reserves the right to suspend or terminate accounts that violate these Terms, engage in unlawful activities, compromise security, or misuse the platform.

16. Amendments

DLAR may update these Terms due to changes in law, technology, security standards, or business operations.

17. Governing Law

These Terms shall be governed by the laws of the Republic of the Philippines. Disputes shall be subject to the proper courts of Davao City, Philippines.

18. Electronic Consent

By selecting agreement to the Terms of Service and Privacy Policy, creating an account, logging in, or continuing to use the System, you acknowledge your electronic consent.

By using the DLAR System, you acknowledge your responsibility to maintain accurate business records and use the platform in accordance with these Terms and applicable laws.
